Terms of Service
IRISBOARD, operated by Scrum System Pvt Ltd. Last updated 23 September 2026.
These terms govern the use of IRISBOARD, a digital noticeboard service for internal communication. They apply to the organisation that subscribes (the customer), to everyone who signs in under that subscription, and to the display app installed on the customer's screens. By subscribing, signing in or installing the display app, the customer accepts these terms.
Where a signed agreement, purchase order or quotation exists between Scrum System Pvt Ltd and the customer, that document prevails over these terms wherever the two differ.
1. The service
IRISBOARD consists of a web console for creating, approving and scheduling notices, and a display app that plays those notices on screens the customer installs at its own premises. The service is provided on a subscription basis, and is improved and changed over time. We may add, alter or withdraw features; where a change materially reduces what the customer has paid for, we will give reasonable notice.
2. Accounts and access
- Logins are issued to named people. They are not to be shared, and each person is responsible for what is done under their login.
- The customer's administrator decides who has a login, what each may do, and which screens each may publish to. Removing someone who leaves the organisation is the customer's responsibility.
- Passwords must be kept confidential. Anyone who believes a login has been compromised must tell their administrator, who can reset it, and tell us if the compromise affects the wider account.
- Signing in with Microsoft or Google is available where an address already belongs to an IRISBOARD login. It creates no account by itself.
3. Subscription, screens and AI credits
A subscription covers an agreed number of screens for an agreed period. Fees, the number of screens and the period are those stated in the applicable quotation, order or invoice.
- Screens. A screen that is paired consumes a seat in the subscription for as long as it stays paired.
- AI credits. Content generation is charged in credits, at the rates shown in the console when the content is generated. Credits are consumed as work is produced; they are not refundable and, unless agreed otherwise in writing, do not carry over after a subscription ends.
- Payment. Invoices are payable by the date stated on them. Taxes are extra where applicable.
- Lapse. When a subscription expires, sign-in is refused and screens stop receiving new content. Content already downloaded to a screen may continue to play until it expires by its own schedule.
4. The customer's content
Notices, documents, images, logos and text that the customer creates or uploads remain the customer's. We claim no ownership of them, and use them only to run the service for that customer — storing them, processing them to produce the requested output, and delivering them to the customer's own screens.
The customer is responsible for what it publishes, and warrants that it has the right to use the material it uploads — including logos, photographs of employees, and any third-party images or fonts. Nothing published on a screen is reviewed by us before it appears.
5. AI-generated content
Review before you publish. IRISBOARD writes copy and designs posters using AI models. AI output can be wrong, and a notice on a wall is read as a statement by the organisation that put it there. Every generated notice should be checked by a person before it is published — which is what the approval step in the console is for.
We do not warrant that generated text or artwork is accurate, original or fit for any particular purpose. Similar output may be produced for other customers from similar requests. The customer is responsible for the content it chooses to publish, however that content was produced.
6. Acceptable use
The service may not be used to:
- publish anything unlawful, defamatory, obscene, harassing, or inciting hatred or violence;
- infringe anyone's intellectual property, privacy or publicity rights;
- display material that is obscene or otherwise unlawful under applicable law in the places where the screens are installed;
- attempt to gain access to another organisation's data, to probe or breach the service's security, or to interfere with its operation;
- resell, sublicense or provide the service to anyone outside the customer's own organisation, unless agreed in writing;
- reverse engineer the software, or extract its models, prompts or data for building a competing service.
7. Availability and support
We aim to keep the service available at all times, but do not guarantee uninterrupted operation. Planned maintenance is carried out outside Indian business hours where practical. Screens continue to play the content they have already downloaded when the network or the service is unavailable, which is by design.
Support is provided by email at sales@scrum-system.com during business hours, and to the extent set out in any separate agreement.
8. Data protection
Personal information is handled as described in our Privacy Policy, which forms part of these terms. Each customer's data is isolated from every other customer's. The customer remains responsible for the personal information it chooses to put into notices — for example photographs or names of employees — and for having a basis to publish it on screens in its workplace.
9. Intellectual property
IRISBOARD, its software, the display app, its design and its documentation remain the property of Scrum System Pvt Ltd. The customer receives a non-exclusive, non-transferable right to use the service for its own internal communication for as long as its subscription is active, and nothing more.
We may refer to a customer by name and logo as a user of IRISBOARD only with that customer's prior written consent.
10. Suspension and termination
- Either party may end a subscription at the end of its current period by written notice.
- We may suspend access immediately where an invoice is materially overdue, where the service is being used in breach of clause 6, or where continued use threatens the security or stability of the platform. We will say why, and restore access once the cause is resolved.
- On termination, the right to use the service ends. Data is retained for a limited period so it can be restored if the customer returns, and is deleted after that period or on request, as set out in the Privacy Policy.
- Fees already paid for the current period are not refundable except where required by law.
11. Warranties and disclaimers
The service is provided on an "as is" and "as available" basis. To the extent permitted by law, we exclude all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be error-free, that a given notice will reach a given screen at a given moment, or that AI-generated output will be accurate.
12. Limitation of liability
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of profits, loss of business, or loss of goodwill.
Our total liability arising out of or in connection with the service, whether in contract, tort or otherwise, is limited in aggregate to the fees paid by the customer for the service in the twelve months preceding the event giving rise to the claim.
Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
13. Indemnity
The customer will indemnify Scrum System Pvt Ltd against claims brought by a third party arising from content the customer published through the service, or from use of the service in breach of clause 6.
14. Changes to these terms
We may update these terms. The date at the top of this page changes when we do, and where a change materially affects the customer's rights or obligations we will notify account administrators by email before it takes effect. Continued use after that date is acceptance of the updated terms.
15. Governing law
These terms are governed by the laws of India. The courts of India have exclusive jurisdiction over any dispute arising out of or in connection with them. The parties will attempt to resolve any dispute in good faith before commencing proceedings.
